Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Tokligence LLM API marketplace at llm.tokligence.ai (the “Service”), operated by SINGHOME JOY PTE. LTD. (“Tokligence”, “we”, “us”, or “our”). Please read them carefully.

1. Acceptance of Terms

By creating an account, generating an API key, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.

2. Description of the Service

Tokligence provides an OpenAI-compatible API gateway that routes your requests to a range of third-party large language model (“LLM”) providers and meters your usage. The Service acts as an intermediary: we forward your requests to the upstream provider you select and return that provider’s response to you. We do not create, own, or control the underlying models, and model availability, capabilities, and pricing may change.

3. Eligibility & Accounts

You must be at least 16 years old (or the age of majority in your jurisdiction, if higher) to use the Service. You agree to provide accurate account information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. API Keys & Account Responsibility

  • API keys issued to you are secret credentials. You are responsible for keeping them secure and must not share, publish, or embed them where third parties can extract them.
  • You are responsible for all usage and charges incurred under your API keys, whether or not authorized by you, until you rotate or revoke the affected key.
  • Notify us promptly at [email protected] if you suspect unauthorized use of your account or keys.
  • If you configure your own upstream provider credentials (BYOK), you are responsible for complying with the terms of those providers and for the validity of those credentials.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, or infringe the rights of others.
  • Generate, distribute, or facilitate content that is unlawful, that sexually exploits or endangers minors, or that promotes violence, harassment, or illegal activity.
  • Violate the acceptable-use or usage policies of the upstream model providers whose models you access through the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or to probe, scan, or circumvent security or rate-limiting measures.
  • Reverse engineer, resell, or redistribute the Service in a manner not expressly permitted, or use it to build a competing service in violation of these Terms or provider terms.
  • Transmit malware, or use the Service to send spam or conduct fraudulent, deceptive, or abusive activity.

We may investigate suspected violations and take appropriate action, including removing content, suspending access, or terminating accounts.

6. Third-Party Providers & Model Output

The Service routes your requests to third-party model providers (for example OpenAI, Anthropic, Google, DeepSeek, Moonshot, and Zhipu). Your use of a given model is also subject to that provider’s terms and usage policies, and the content you send is processed by that provider as described in our Privacy Policy.

Model outputs are generated by machine-learning systems and may be inaccurate, incomplete, offensive, or otherwise unsuitable for your purposes. You are responsible for evaluating and verifying outputs before relying on them, and you must not present outputs in ways that are misleading or that violate applicable law. Outputs are not professional advice.

7. Billing & Prepaid Credits

  • The Service operates on a prepaid model. You purchase credits in advance, and usage is metered and deducted from your balance based on the model used and the number of tokens processed, according to the pricing shown on our Pricing page.
  • Prices and rate cards may change. Material pricing changes will be reflected on the Pricing page and take effect for usage after the change.
  • You are responsible for any taxes associated with your use of the Service, except taxes on our net income.
  • Credits you purchase do not expire. Promotional credits — including referral rewards — are separate from your purchased balance, carry their own expiry date, and are governed by Section 8. When you use the Service, available promotional credit is applied before your purchased balance, so that it is used before it expires.
  • Requests for a refund of purchased credit are handled case by case; contact [email protected]. Where we refund a payment, any promotional credit granted on the basis of that payment may be reversed (see Section 8.7).
  • We may suspend requests when your balance is exhausted. You remain responsible for charges already incurred.

8. Referral Programme & Promotional Credits

In plain language, before the detail: if someone creates an account using your referral link and pays for usage, you earn credit — currently 4% of what they spend, and 1% of what the people they refer spend. What you earn is token credit, not money: it can only be used to pay for usage on the Service, it cannot be withdrawn, transferred, or converted to cash, and it expires if you do not use it. We work out each month’s earnings after that month ends and issue them the following month. Everything below explains exactly how that works, including the parts that limit what you receive.

8.1 What the programme is

The referral programme pays a commission, in promotional credit, on the qualifying spend of users you refer. It has two levels only: users who sign up through you (level 1), and users who sign up through them (level 2). The current rates are 4% for level 1 and 1% for level 2. Rates are shown on your Referral page, which is the authoritative source for the parameters in force. We may change the rates, but a change only takes effect from a future calendar month — we do not apply rate changes retroactively to spend that has already happened.

8.2 What counts as qualifying spend

Commission is calculated only on usage that a referred user paid for with purchased credit. It excludes:

  • usage paid for with promotional credit of any kind, including referral credit — referral credit does not itself earn further referral credit;
  • usage served with your own upstream provider keys (BYOK), where we do not sell you the tokens;
  • amounts we billed but were unable to collect;
  • usage that occurs outside the attribution period described in 8.3, or after the referral relationship has been ended under 8.8.

8.3 How referrals are attributed

A referral relationship is created only at the moment the referred user creates their account using your code or link. It cannot be created, changed, transferred, or reassigned afterwards, and an existing account cannot be attributed to a referrer. You cannot refer yourself, and we do not attribute accounts that share your email address. The relationship lasts for 3 years from the referred user’s signup (the current setting; the value in force is shown on your Referral page). Attribution stops at two levels — there is no third level and no deeper chain.

8.4 How and when commission is calculated and issued

  • Commission accrues over each calendar month (UTC).
  • After the month ends we close it and issue the credit in the following month, currently on or after the 3rd (UTC). The delay lets late settlements and early refunds land before we pay.
  • There is a minimum issuance amount, currently US$1. Anything below it stays in your balance and is carried into the next month rather than being lost.
  • The programme has an overall budget. If it is reached we may stop issuing further credit; amounts you have already earned but not yet been issued remain recorded in your account. We may also introduce limits on how much a single participant can be issued in a period — if we do, they will be published in these terms before they take effect, and we will tell you what happens to anything above them.
  • Your Referral page shows, for each month, what accrued, what was issued, what was carried forward, and when issued credit expires.

8.5 What referral credit is — and is not

Referral credit is promotional credit. It is not money, not a deposit, not a stored-value or payment instrument, and not a claim for payment against us. Specifically, referral credit:

  • can be used only to pay for usage of the Service;
  • cannot be withdrawn, cashed out, redeemed for money, transferred, assigned, or given to another account;
  • has no cash value, earns no interest, and is not refundable;
  • expires — currently six months from the date it is issued. Credit you do not use before it expires is forfeited, and we do not compensate for expired credit. Each issuance carries its own expiry date, which we show you on your Referral page and in your billing view;
  • is applied before your purchased balance when you use the Service, so that it is used before it expires.

8.6 Buy-back is a right we keep, not a promise we make

We may, entirely at our discretion, offer to repurchase promotional credit at a price we determine, and we reserve the exclusive right to set that price. This is a right we retain, not an obligation we owe: nothing in these Terms gives you a right to require us to buy back credit or to convert credit into money, and you should not acquire or rely on credit in the expectation that we will.

8.7 Reversal and recovery

If a payment that funded qualifying spend is refunded, reversed, or charged back, we reverse the corresponding commission. We take it first from amounts accrued but not yet issued, and then from issued credit you have not yet spent. We will not recover more than we credited you for that user, and we will not take money from your purchased balance to do it. Credit you have already spent cannot be recovered from you.

8.8 Abuse of the programme

The programme is for genuine referrals. The following are prohibited: referring yourself; creating, controlling, or coordinating multiple accounts to generate commission; paid placement or search advertising that impersonates Tokligence or bids on our brand; spam, unsolicited messaging, or misrepresenting what the Service is or what it costs; and any attempt to work around the caps, the attribution rules, or the qualifying-spend rules. Where we reasonably determine that the programme has been abused, we may withhold or reverse unspent credit, end the referral relationship, remove you from the programme, and suspend or terminate the accounts involved under Section 14.

8.9 What we show you about the people you refer

We show you how many users you have referred, at each level, and totals for the group as a whole. We do not show you any individual referred user’s spending, usage, or activity — that is their information, not yours. For the same reason, we show the commission you earn as monthly totals rather than per person.

8.10 Changes to, or ending of, the programme

We may change the programme’s parameters — rates, caps, attribution period, minimum issuance, expiry period — or suspend or end the programme. Parameter changes take effect from a future month and do not apply retroactively to spend already made. Credit already issued keeps the expiry date it was issued with. If we end the programme, commission you have already earned for months that have closed will still be issued, subject to the caps and the reversal rules above.

8.11 Taxes and eligibility

You are responsible for determining and meeting any tax obligations that apply to you in connection with credit you receive, except taxes on our net income. The programme is not available where it would be unlawful, and we may exclude account types that the programme does not currently support.

9. Rate Limits & Fair Use

We may apply rate limits, quotas, and other technical restrictions to protect the stability and security of the Service and to comply with upstream provider limits. We may adjust these limits and may throttle or temporarily suspend requests that we reasonably believe threaten the integrity of the Service or violate these Terms.

10. Intellectual Property

Tokligence and its licensors retain all rights in the Service, including its software, documentation, trademarks, and design. These Terms do not grant you any rights in our intellectual property except the limited right to use the Service as permitted here. As between you and Tokligence, you retain your rights in the input you submit, subject to the rights you grant the upstream providers under their terms.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties regarding the availability, accuracy, reliability, or content of model outputs. We do not warrant that the Service will be uninterrupted, secure, or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, Tokligence and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim, or one hundred U.S. dollars (US$100).

13. Indemnification

You agree to indemnify and hold harmless Tokligence and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content or inputs, or your violation of these Terms, applicable law, or the rights of any third party (including upstream provider terms).

14. Suspension & Termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if we reasonably believe you have violated these Terms, if required by law or by an upstream provider, or to protect the Service or other users. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including billing for incurred usage, disclaimers, limitations of liability, and indemnification) will survive.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located in Singapore for any dispute arising out of or relating to these Terms or the Service, except where mandatory local law provides otherwise.
